Bylaws
(Revised and approved by vote of the membership on March 17, 2001)
ARTICLE I - NAME
The name of this Club shall be "The Arizona Big Train Operators Club" also
known as ABTO.
ARTICLE 11 - PURPOSE
The purpose of this Club is to promote and advance the interest of
large-scale model railroading in Arizona through the camaraderie of its
membership, to discuss and share ideas, to assist one another in model
railroading projects, and to provide its membership with the opportunity to
operate large scale trains.
ARTICLE III - MEMBERSHIP
Membership is open to all people interested in large-scale model
railroading without discrimination. A membership is considered active upon
payment of annual dues, approval by the Executive Board, and notification of
the Secretary by the Treasurer.
Active Members are entitled to all rights and privileges as outlined in these
Bylaws. Family Members are encouraged to attend Club meetings and functions.
Members are asked to sign the Attendance Sheet at each meeting.
Any member may be expelled and his membership terminated for conduct which the
Executive Board shall determine to have disturbed the order, dignity, business
or harmony of the Club, or to have impaired its good name, good will or
prosperity, or to have violated these By-Laws, or any rules or regulations of
the Club which are in force at the time of the alleged infraction.
Such expulsion shall be by a 2/3 vote of the members of the Executive Board
present at a meeting thereof duly called and held; provided, however, that the
Board at a prior meeting thereof shall first have voted to institute expulsion
proceedings and that thereafter a statement of the charges have been mailed by
registered or certified mail to the accused member, directed to his last
recorded address, at least 30 days before final action is taken thereon.
This statement shall be accompanied by a notice of the time when, and place
where, the Executive Board is to take action on such charges, and such notice
shall state that the accused member will have an opportunity to present a
defense at the time and place designated in such notice. The decision of the
Executive Board shall be final and conclusive. All rights and privileges of an
expelled member shall terminate immediately after the expulsion.
ARTICLE IV - MEMBERSHIP PRIVILEGES
The payment of annual dues entitles a family to one Membership, a copy of
the monthly Newsletter, one vote on any issue, and upon initial membership, a
Member's Badge and a copy of the Club Bylaws.
A Member's Family may take out more than one Membership per year. Each
additional paid active Membership shall entitle the Member to receive the
Newsletter, one vote and upon initial membership, a Member's Badge and Club
Bylaws.
ARTICLE V - GUESTS
Guests are welcome at Club Meetings. They are allowed to attend only two
meetings before becoming Members. Guests are required to also sign the
Attendance Sheet so they may be recognized at each Meeting.
ARTICLE VI - DUES
Club dues are $35.00 per year. They shall be collected by the Treasurer on
an annual basis and are due in the month of December for the next calendar
year. The dues are NOT prorated for the year.
ARTICLE VII - MEMBERSHIP BADGES
Each Member shall receive one badge upon joining the club. Additional
badges may be purchased for Family Members.
ARTICLE VIII - MEETINGS
REGULAR MEMBERSHIP MEETINGS
Regular Membership Meetings shall be held on the third Saturday of each month;
generally between 10:00 a.m. and 2:00 Minutes of the previous Membership
Business Meeting and a Treasureršs Report shall be given at each meeting. The
Club President shall prepare the agenda for each meeting.
SPECIAL MEMBERSHIP MEETINGS
Special Membership Meetings may be called at any time by the Executive Board
or by a majority vote of the Membership. The Newsletter Editor will send
notice of these Special Meetings to all Members.
EXECUTIVE BOARD MEETINGS
The Club President or Executive Board Members may call Executive Board
Meetings. Notice of these Meetings shall be given in writing or by telephone.
ARTICLE IX - OFFICERS
The Elected Officers of the ABTO Club shall be:
- President
- Vice President
- Secretary
- Treasurer
- Member at Large
TERMS
A candidate for office must have been an active member in good standing for
12 months prior to the date of the election. All Officers shall serve in their
elected position for a period of two calendar years. No Officer can be
reelected to the same position for the next term, but can be elected to
another position.
DUTIES: The duties and responsibilities of each Officer shall be as
follows:
PRESIDENT:
To preside at all Membership and Executive Board Meetings. To officially
represent the Club and conduct its business. To implement direction, policies,
and programs as directed by the Club or Executive Board. To have the power to
appoint Members to serve on Committees as required.
VICE PRESIDENT:
To assist the President and preside at any meetings in his/her absence. To
keep actively informed of activities and events concerning model railroading
in Arizona and other related areas which would be of interest to the
Membership. To arrange for Club activities and functions, and to ensure that
proper planning is done. To maintain the Club Calendar of Meetings and
activities.
SECRETARY:
To accurately record, maintain and read the minutes of all Club and Executive
Board Meetings where business is conducted. Will handle, retain, and present
all Club correspondence. To maintain a role of all active Members based on
information from The Club Treasurer. To present and maintain the Membership
Attendance List. To maintain the Club Bylaws.
TREASURER:
To properly transact all Club expenses and ensure that all bills which have
been pre-approved by the Executive Board are paid in a timely manner. All
other bills are to be submitted to the Executive Board for approval before
being paid. To maintain accurate accounting and records of all Club income and
expenses. To collect dues, moneys, and payments made to the Club and to
maintain the Club checking account. In October of each year, Two Club Members
will be appointed by the Club President to audit the Treasury Books and
statements of the Treasurer and present their report to the Membership at or
before the December Membership Meeting.
THE MEMBER AT LARGE:
To serve as a direct representative of the Membership to the Executive Board
and to communicate the Member's opinions on all issues that affect the Club's
operations and business. To work with the other Officers as may be needed or
requested.
NEWSLETTER EDITOR:
The Newsletter Editor will meet with the Executive Board as a Non-Voting
Member. The Editor will publish the Club Newsletter monthly with information
on upcoming events and shall publish the current Club Membership Roster in the
March and November issues.
ARTICLE X - ELECTION OF OFFICERS
A Nominating Committee will be selected from the Membership before the June
Membership Meeting of an election year. The Nominating Committee will submit a
slate of candidates to be voted upon at the November Membership Meeting. The
election of new officers will be by secret written ballot. Officers will serve
from January of the even numbered year through December of the odd numbered
year.
RESIGNATION: Any Club Officer may resign his position by
notifying the Club President in writing.
ARTICLE XI - THE EXECUTIVE BOARD
The Executive Board consists of the five elected Officers named above and
the Newsletter Editor (non-voting). They will be responsible for the day to
day operations of the Club, including Club direction, development of Club
policies, the Club's financial status, and recommend programs to further the
Club's purpose. The Executive Board will meet to discuss and decide the issues
affecting the Club and present the results to the Membership.
ARTICLE XII - CONDUCT OF BUSINESS AND VOTING
The Club President, or a duly elected Officer in order of decent, will
preside over all Business Meetings.
All business will be conducted in accordance with Robert's Rules of Order
(modified) and these Bylaws.
Any Member recognized by the Club President or Presiding Officer may bring
forth business before the club.
All issues requiring a vote will be presented in motion form and be
seconded. The Club President may ask for discussion before calling a vote.
Successful passage of all motions or actions requires a simple majority
vote of the Membership present at a regularly scheduled Membership Meeting.
Each Family Membership will decide on a spokesperson to represent the
family and cast the family vote at the Meetings.
ARTICLE XIII - CHANGES TO THE BYLAWS
Any amendments, changes or alterations to these Bylaws shall be by Majority
Vote of the Members present at a regularly scheduled Membership Meeting.
